You don't give any details so I assume this PC has very limited RAM anyway and the GPU shares it with the OS. If so, and if you use the PC for video intensive purposes, then it is not surprising that OS RAM is being used by the GPU.
You don't want to stop the GPU from using any RAM at all, trust me. Even if it were possible the PC would become unusable immediately as there would be no display.

no Windows 7 on this system as it stands. In addition to the graphics card that P4 may be underpowered for Win 7. It will work, but it won't be pretty.
That NVidia graphics card does have its own memory, but only 256MB according to;

It is an entry level card and so is limited in what it can do. With such low RAM of its own it will be using up any other available RAM for video intensive usage.
My older Dell running XP has 2GB of RAM and a dedicated ATI video card but I upgraded that to some NVidia with 512MB of RAM. At the time it was OK but I wouldn't use it for video intensive games nowadays.
How or what pgm. is determining your ram usage. As i see your specs for your mtrbd. it shouldn't with your current GPU provide *any* additional ram for video use. Unless, there is some weird ram for video option that just isn't done for typical video card/GPU installed. That maybe true for on-board video/GPU setup but not for an installed video card. The specs do say, a small amt. of ram is used for "system use" but since there isn't any video port that also suggest system ram should be minor less than 256mb, IMO. If you haven't already you may want to check&verify your bios level. It may need a bios update to possibly correct this or just be at best status alone.
As for Win7, 32-bit install, that will work in general. However, I strongly advise you remove the current ram and start using 4x512mb ram sticks for a max. total of 2gb. However, 2gb will be fine for Win7-32bit. See link for specs:

As you report it, with 7300LE video card no ram should be used for video from system ram. Again, the specs do offer that a small amt. is used for its own use outside of OS demands. Recheck the manual yourself, i just did a simple support website check via the specs.

Those machines needed a lot of work to make them work. It was not a bug that caused you to put the stick in some specific slot but this was a common practice and requirement for many P4 powered PCs.
I can only guess this is your first encounter with older gear.

Even though the ram slots are 1-4, they're actually known as "banks". There are 2 pair or banks,, as 1 bank = 2 slots. Notice that the ram slots are colored to better ID the bank pair when ram is installed. It's best to install as a pair in order to use the DDRx method of ram use. It may not readily seen if all ram slots are used with similar ram sticks. i still don't see just what ram is allocated in the system, all I saw was slot 1. I like to see full report of all slots. Also, I did see the 512mb for ram, yet I didn't see the 256mb if that what it suppose to be. all, I can say for now, that if that mtrbd. allocates system ram for video use, then that's not the norm for an installed video card. That could be a solution they provided at the time when ram costed $ and/or to better the mtrbd. specs. Either that or your version cpu-Z just confuses the issue.
