Toshiba!
Toshiba makes very good laptops and running Vista 64-bit will allow the laptop to use all of that 4GB of RAM. Too, the Toshiba has a dedicated ATI graphics card with its own RAM.
The Dell is running Vista 32-bit, which means maximum RAM it can run is 4GB, but will only see about 3.25GB of it. Too, the Intel graphics are built in, not a dedicated card with it's own RAM - this means it uses the system RAM, so the Dell's 3GB will NOT be used just by Win Vista but shared with the integrated video.
The Toshiba is a much better laptop.
I have had a Toshiba satellite laptop for over a year. Works flawlessly so far. Had one glitch (my fault) and had immediate help from Toshiba on the phone - no charge (at 13 months) and fixed my screw-up.
Since either of the two laptops would appear to meet your requirements, I'd suggest you:
a) buy the first one that goes on sale, (you can often save $50 - $75)
if you can't find a sale on either,
b) buy the one that weighs the least, (my laptop weighs 12 lbs and keeps putting my leg to sleep while I'm surfing from my Lazy-Boy)
if they both weigh the same,
c) buy the one that has the least amount of the manufacturer's crap already installed and taking up hard drive space, (I hate a computer that chuck-full of their crap)
d) if none of those works, there's always 'one potato, two potatoes, three potatoes, four (yada yada yada)
Personally I think a lot depends on luck, you can get a lemon in any brand.

WELL MY FRIEND FROM FIRST HAND EXPERIENCE I HAVE OWNED TWO DELL TOP OF THE RANGE NOTE BOOKS,BOTH COMPLETE WITH MAX HARD DRIVE SPACE AND MAX RAM CAPACITY SO THAT I COULD HOLD AS MUCH MEMORY AS POSSIBLE ORIGINALLY INTENDING TO COPY MY ENTIRE MOVIE LIBRARY ON MY DELLS HARD DRIVE SO MY CHILDREN COULD WATCH MOVIES ON THE NOTEBOOK DURING OUR LONG WEEKLY DRIVES TO TARRALGON INTHE FAMILY 4WD.,BOY WAS I IN FOR A SHOCK!! THE DELL MANAGED TO HOLD ABOUT 6 MOVIES MAX BEFORE IT WAS TOTALLY OUT OF MEMORY! THEN THE AMOUNT OF TROUBLE I HAD FINDING ALL THE EXCESS RUBBISH FILES AND REMOVING THEM WAS TORTURE. IF THAT WASNT BAD ENOUGH WHEN WE DECIDED TO FORMAT THE DELL THE DVD DRIVE WASNT RECOGNISED BY MY HARD DRIVE MAKING IT IMPOSSIBLE TO RELOAD ALL MY SOFTWARE AND THAT LEFT ME NEEDING A NEW ONE. MY SECOND DELL LASTED JUST 4 MONTHS BEFORE I NEEDED TO BUY AN EXTERNAL HARD DRIVE WORTH $500 JUST TO HANDLE EVERY DAY USE FOR WORK AS I HAD BAUGHT A DVD PLAYER FOR THE CAR TRIPS SO MY NEW DELL WAS ONLY NEEDED FOR WORK,IT STILL COULDNT KEEP UP!! NEXT I BAUGHT A TOSHIBA MUCH LIKE THE ONE YOU ARE CONSIDERING AFTER MY BROTHER TOLD ME HOW GREAT HIS WAS AND SURE ENOUGH THAT NOTE BOOK I BAUGHT 2 YEARS AGO I LATER UPGRADED TO ANOTHER TOSHIBA 2YRS LATER GIVING MY OLDER VERSION TO MY MOTHER WHO STILL HAS IT TILL THIS DAY AND HAS NEVER EVER HAD ANY PROBLEMS WITH.WE HAVE SINCE BAUGHT ONE FOR EACH CHILD ALSO MAKING IT A TOTAL OF 6 TOSHIBAS IN MY FAMILY AND 1 HP AND THE TOSHIBA IS STILL THE BEST NOTE BOOK ANY OF US HAVE EVER HAD!! I hope you bought the Toshiba. After many months of investagation, I choose a Toshiba Satellite. It has never failed me, you do not have to buy the insurance either. Toshiba not only has great customer service, they are rated excellent when it comes to break downs, they just don't.

As a previous owner of both a Toshiba Satellite and a Dell, I would definitely suggest picking the Toshiba. It was hands down one of the best notebooks I have ever owned.
I have owned a number of Dell laptops and each one ended with a horrible death of the machine. I then bought a Toshiba Satellite and have had no problems with it for 3 years. My reccomendation is to go with the Toshiba
